Viasat's proposed acquisition of Inmarsat receives FCC approval

23 May 2023

Viasat’s proposed acquisition of Inmarsat has received approval from the US Federal Communications Commission (FCC). The FCC’s decision leaves the European Commission’s (EC) competition review as the key ongoing regulatory process in relation to the transaction. The transaction is expected to close later this month, subject to required regulatory approvals, clearances and other customary closing conditions.

Back in November 2021 Viasat and Inmarsat announced that they had entered into a definitive agreement under which Viasat would acquire Inmarsat in a transaction valued at USD7.3 billion. The deal will comprise USD850.0 million in cash, approximately 46.36 million shares of Viasat common stock valued at USD3.1 billion (based on the closing price on Friday 5 November 2021), and the assumption of USD3.4 billion of net debt.
