Italian ISPs Tiscali and Linkem have unveiled a plan to merge their operations. In an announcement dated 30 December 2021 the two companies confirmed that their respective boards of directors had approved the transaction, which will be structured as a ‘merger by incorporation’. As such, Linkem Retail will be merged into Tiscali, although Linkem will become the controlling shareholder of the enlarged entity (see below).
Post-merger, Linkem will hold 62% of the share capital of Tiscali, Amsicora (currently the largest shareholder in Tiscali) will hold a stake of approximately 3.7% (of which 2.67% will be held directly and the remaining 1.03% loaned to Nice & Green) and Renato Soru (Tiscali’s founder and CEO) will hold an equity investment equivalent to 2.09% of the share capital of Tiscali.
The deal is expected to conclude in the first half of 2022.
