ONE, Vip sign merger agreement

The managing directors of Macedonian cellcos Vip Operator, part of the Telekom Austria Group, and Telekom Slovenije-owned ONE have signed an agreement to merge the operations of the two companies. According to a Telekom Slovenije press release, the entire transaction is expected to be completed after obtaining merger clearance from the Macedonian authorities. The conclusion of the merger agreement is in line with a ‘Shareholders and Implementation Agreement’ signed on 22 October 2014, under which Telekom Austria will hold a 55% stake and have sole control of the newly created entity, while Telekom Slovenije will hold the remaining 45%.

According to TeleGeography’s GlobalComms Database, ONE is the third largest mobile network operator in Macedonia, with a market share of 23.3% as of 30 September 2014, equivalent to 558,882 subscribers. Meanwhile, Telekom Austria, which has offered mobile services in the country through Vip Operator since 2007, had a market share of 26.3% (630,879 users) in 3Q14. The merger would put the enlarged entity on an equal footing with market leader T-Mobile Macedonia (50.4%).
